These Terms of Service ("Terms") govern your use of the AppsPrize mobile application and this website (together, the "Service"), operated by App Samurai and its affiliates ("App Samurai", "we", "us", "our"). By downloading, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 16 years old, or the age of majority in your location, to use the Service. The AppsPrize app is available on Android. You may hold only one account, and you agree to provide accurate information when you sign in.

2. How the Service works

AppsPrize lets you earn coins by playing games, completing offers, and taking surveys. The Service is advertiser-funded: advertisers and game studios pay to reach players, and that budget funds rewards. You never have to pay or make a purchase to earn.

Coins are a unit we use to track rewards. They have no cash value on their own and become redeemable only when you validly reach a cash-out threshold and request a payout in accordance with these Terms and the rules shown in the app. Coins and rewards are personal to you and may not be sold, transferred, or combined across accounts.

3. Your account and security

You are responsible for activity that happens under your account and for keeping your sign-in secure. Tell us promptly at support@appsprize.com if you believe your account has been compromised.

Electronic communications. You agree that we may give you notices, disclosures, and other communications about the Service electronically, by email to the address linked to your account or by notice in the app, and that these satisfy any legal requirement that such communications be in writing. You may withdraw this consent by closing your account.

4. Phone verification and SMS

When you create an account we ask you to verify a phone number, so that we can confirm it belongs to you and so that one person does not end up holding several accounts. Verification uses a one-time code sent by SMS through our messaging provider, AWS End User Messaging. Nothing is sent until you give consent in the app:

Program. This SMS program is called AppsPrize Account Verification. It is offered to mobile numbers in the countries where the AppsPrize app is available, and it is used only to verify a number that you have entered yourself. A standalone copy of these SMS terms is published at appsprize.com/sms.
What we send. One-time verification codes only. We do not send marketing or promotional messages to your number, and we do not use it for advertising.
Message frequency. Message frequency varies. You receive a code when you ask for one, such as when you verify a number or sign in again.
Rates. Message and data rates may apply, depending on your mobile plan and carrier.
HELP. Reply HELP or INFO to any message, or email support@appsprize.com, and our support team will help you.
STOP. Reply STOP (or END, CANCEL, UNSUBSCRIBE, or QUIT) to any message to cancel. You will stop receiving verification codes, which also means you cannot finish phone verification until you opt back in by replying START.
Delivery. Wireless carriers are not liable for delayed or undelivered messages.

5. Acceptable use

To keep rewards fair for everyone, you agree not to:

Create more than one account, or use another person's account.
Use VPNs, proxies, emulators, bots, scripts, or automated tools to earn or cash out.
Generate fake, fraudulent, incentivized-outside-the-Service, or duplicate installs, clicks, or completions.
Interfere with, reverse engineer, or tamper with the Service, its tracking, or its security.
Provide false information, or use the Service for any unlawful purpose.

We use fraud-detection systems to enforce these rules.

6. Rewards, validation, and payouts

Rewards are credited only for genuine, verified activity. We may validate any activity before or after crediting it. If we determine that coins or rewards were obtained through fraud, error, a breach of these Terms, or a third-party partner reversal, we may withhold, adjust, or reverse them.

When you reach a valid cash-out threshold, you may request a payout to PayPal or as a gift card, subject to availability and the details shown in the app. You are responsible for providing accurate payout information. Earnings vary and are not guaranteed. AppsPrize does not promise any specific amount of earnings.

Coins do not expire while your account is active. If your account is inactive for twelve consecutive months, we may expire unredeemed coins, but only after we have given you notice at the email address linked to your account and a reasonable opportunity to cash out.

You are responsible for any taxes that may apply to rewards you receive. AppsPrize does not provide tax advice.

Where the law requires it, we may ask you for tax information, such as a Form W-9, before we release a payout, and we may report payouts to the relevant tax authorities.

7. Suspension, termination, and appeals

We may suspend or terminate your access, and withhold unredeemed rewards, if we reasonably believe you have breached these Terms or engaged in fraud. Where your account is flagged, you may appeal by contacting support@appsprize.com, and we will review your case. You may stop using the Service and close your account at any time.

8. Intellectual property

The Service, including its software, branding, and content, is owned by App Samurai and protected by intellectual property laws. Game titles, logos, and other marks shown in the Service are the property of their respective owners and are used for identification only. Nothing in the Service grants you rights in those third-party marks.

9. Third-party services

The games, offers, surveys, payment providers such as PayPal, and gift-card providers available through the Service are provided by third parties under their own terms and privacy policies. We are not responsible for third-party services, and your use of them is at your own risk.

AppsPrize is distributed through Google Play. Google is not a party to these Terms, is not responsible for the Service or for any reward, and gives no warranty in respect of the Service.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or that any specific game, offer, or reward will always be available.

11. Limitation of liability

To the fullest extent permitted by law, App Samurai will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of rewards, profits, or data, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount of validated, unpaid rewards in your account or fifty US dollars.

12. Indemnification

You agree to indemnify and hold App Samurai harmless from claims, losses, and expenses arising out of your misuse of the Service or your breach of these Terms.

13. Governing law

These Terms are governed by the laws of the State of New York, United States, without regard to its conflict-of-laws rules, unless a mandatory law in your country of residence requires otherwise. Any dispute will be resolved in accordance with this section and any additional dispute terms shown at sign-up.

14. Dispute resolution, arbitration, and class action waiver

Please read this section carefully. It affects your legal rights and requires most disputes between you and App Samurai to be resolved by individual binding arbitration instead of in court.

Informal resolution first. Before starting arbitration, you agree to contact us at support@appsprize.com and describe your claim, and we agree to contact you at the email address linked to your account. We will each try in good faith to resolve the dispute informally for sixty days. Completing this step is a condition of starting arbitration.
Binding arbitration. If we cannot resolve the dispute informally, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration, administered by the American Arbitration Association under its Consumer Arbitration Rules, before a single arbitrator. The arbitration will take place in New York, New York, or, at your election, by telephone, by videoconference, or on the documents alone. Judgment on the award may be entered in any court of competent jurisdiction.
Class action and jury waiver. You and App Samurai each waive the right to a trial by jury and the right to bring or take part in any class, collective, consolidated, or representative action. The arbitrator may award relief only in favor of the individual party seeking relief, and only to the extent necessary to resolve that party's individual claim.
Small claims and injunctive relief. Either of us may instead bring an individual claim in a small claims court that has jurisdiction, and either of us may ask a court for injunctive relief to protect intellectual property or to stop unauthorized access to the Service.
Costs and severability. We will pay arbitration filing and administrative fees to the extent required by the AAA Consumer Arbitration Rules. If the class action waiver above is held unenforceable as to any claim, that claim, and only that claim, will be resolved in court, and the rest of this Section 14 will remain in force. If this Section 14 as a whole is held unenforceable, Section 13 governs.
Users outside the United States. If a mandatory consumer-protection law in your country of residence prevents these arbitration terms from applying to you, they do not apply to you, and Section 13 governs instead.
Federal Arbitration Act. This Section 14 evidences a transaction in interstate commerce and is governed by the Federal Arbitration Act.

15. Changes

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, provide notice in the app. Your continued use of the Service after an update means you accept the revised Terms.
